This course is the second course of the two-part series of corporate and commercial law. In this section, we focus on three main topics: business organizations, business financing, and government regulation. In the first module, we discuss the characteristics of some of the most common forms of business entities, such as corporations and LLCs. The second module is devoted to debtor-creditor relations, including bank financing, debt financing, secured transactions and bankruptcy. We conclude the course with two modules that focus on the most important aspects of government regulation, including the process by which enforcement agencies make rules and the regulation of anticompetitive conduct and securities transactions.
In the following, you will get to know the most common forms of business organizations. Examining sole proprietorships and the various forms of partnerships, corporations, and limited liability companies, we will discuss how each type of business entity is formed and how it functions. Using this course, you can distinguish between the most important types of business organizations and understand which form is more suitable for achieving business goals. In the following, we will learn about the rules governing the relationship between the lender and the borrower. We will discuss the basics of bank financing and debt financing with special attention to loans secured by collateral involving personal property. We conclude this course with several lessons that explain the bankruptcy process, and how debtors and creditors navigate the three most common forms of bankruptcy.
